The Role: Corporate & Securities Associate | Seattle, WA
We are seeking a talented Corporate & Securities Associate to join a leading international law firm in its Seattle office. This role offers the opportunity to work on sophisticated corporate matters, collaborate with a dynamic team, and provide strategic counsel to clients across a diverse range of industries.

In this position, you will:

• Counsel public companies on SEC reporting obligations and compliance.
• Advise clients on capital markets transactions, including IPOs, secondary offerings, and private placements.
• Provide strategic guidance on corporate governance matters, including board advisory work and shareholder relations.
• Represent private companies in corporate formation, governance, and transactional matters.
• Draft, review, and negotiate legal documents such as SEC filings, offering documents, and agreements.
• Collaborate with cross-disciplinary teams to provide innovative solutions for corporate and securities matters.

Ideal Candidate Profile

Experience and Expertise

• Years of Practice: Minimum of 3 years of experience in public company reporting, compliance, capital markets, and/or corporate governance.
• Transactional Background: Strong familiarity with SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements.

Educational Credentials

• Juris Doctor (JD): Degree from an accredited law school with excellent academic credentials.
• Bar Membership: Active bar license in Washington or eligibility to waive in.

• Strong interpersonal abilities and a demonstrated ability to work effectively in a collaborative environment.
• Advanced communication skills to articulate complex corporate strategies and solutions.
